Terms of Agreement
- Applicability
The following terms mentioned below are applied to all Navitieto-service (described NT below) contracts that the customer has formed with NT.
- Forming a contract
A deal is made after the customer has filled out the ordering application and sent it to NT customer service. If the customer makes an order through NT:s own telemarketing or the customer calls NT to order the service, the contract will then be oral. In every case the customer will have a confirmation of order to show the information of the customer's company/community that are saved to the service.
- Declining a contract
NT can decline or completely remove an order if it's content offends any third party or violates the rules of marketing or any other valid legislation. The order can also be removed if the customer doesn't pay the required price despite the payment requests.
- Responsibilities between parties
The customer commits to check the confirmation of order if the information is correct and report possible errors to NT in 7 days. NT will not be responsible for any latter errors noticed. The customer is also responsible for delivering any changing information right after changes are made. The customer commits to pay the service fee, registration fee or maintenance fee according to the rate that is valid at the moment or the price that is charged for the first year during the order. The obligation of paying for the service is based on giving the information shown in the confirmation of order the way that is agreed by the customer. If the service is used in any illegal or immoral action and if it affects negatively to the service provider, the customer is responsible for the possible consequences and making up financial, technical or other harm done. If the service provider should pay for any hardware, software or network-based problems to a third party that are caused by the customer's actions, the customer is responsible for paying the cost. If a third party sues the service provider or starts any other actions against it caused by the customer's actions in the network, the customer will be billed by the service provider.
NT is committed to add the customer's information to the service and share information based on the terms mentioned in the order. NT is responsible for sharing the said information during the billing period in agreed dates. NT:s responsibility is always limited to a maintenance fee that is the amount of one month. NT has not a liability for any damage or consequences to the customer caused by false information. Technical errors, like false information, or other notifications must be announced in writing to NT to secure the right information and quality of the service.
NT is justified to abort providing the service temporarily if necessary due to technical or program-based changes or enhancement work (i.e. company arrangements). NT is set to take care that the interruption will not be long-term and happens at a time when there will be as minimal harm as possible. NT will announce the possible interruptions forehand. In so called "force majeure" -situations NT has a right to abort service providing temporarily with no responsibility to refund. NT has no other wider responsibility in providing the service than what is mentioned here.
- Immaterial rights
NT has the ownership and the rights to every service it provides and parts of them. All software, databases, indexes, spinoffs, rights and immaterial rights are property of NT. A third party has no right to use the service, it's name or any part of it to commercial, competitive or related purposes. Copying the services or branches bought by NT is forbidden.
- Use of customer information
NT is allowed to use customer information not only to a purpose mentioned in the service, but to give away information to NT:s subcompanies and affiliates too. NT has a right to deliver this contract and it's rights to a third party without notifying separately.
- End of contract
The contract is valid for the period of time mentioned in the confirmation of order. The cost of one service period is charged according to the current rate right when the deal is done and the next one is charged as soon as the new period has started.
If the customer demands to end the period sooner, NT will delete the customer's information from the service during 14 work days. Deleting the information, though, does not release the customer from the commitment of paying the price charged from the already started period. Despite the premature removal of information the payment already paid will not be returned, and the customer's basic information will always remain in NT:s database.
The customer has not the right to move this contract and it's obligations to a third party without a written acceptance by NT.
- Penalty interest
If the customer doesn't pay the sent bill until the deadline, NT will apply the current yearly penalty of interest (10% min.). The customer also is responsible of the possible charges regarding payment requests and debt collectings.
- Solving conflicts
Conflicts regarding this contract will be primarily solved by negotiations between the parties. If, however, a solution can't be found in a decent period of time, the matter will go to Helsinki district court.
- Validity
These terms will become valid after Nov. 1st 2008 and replace all the previous terms and are valid since.
